Terms of Service
The agreement between FramesOnDemand and the sellers who use our framing and unframed-print fulfillment service.

1. Parties and definitions
These Terms of Service ("Terms") form a binding agreement between CustomPictureFrames LLC, a New Jersey limited liability company located at 6 Shirley Ave, Somerset, NJ 08873, USA ("FramesOnDemand," "FOD," "we," or "us"), and the entity or individual that installs our app or signs up to use our service ("Seller," "you").
The "Service" means the FramesOnDemand application, APIs, seller portal, and the print and framing fulfillment service operated by us — distributed via the Shopify App Store, our future iOS app, and any other supported platform we add (such as Etsy, when connected).
"Buyer" means an end customer who purchases a print or framed print from a Seller's storefront. Buyers are not parties to these Terms; their relationship is with the Seller.
These Terms incorporate by reference our Privacy Policy and our Copyright Policy. By using the Service, you agree to all three.
2. The service
FramesOnDemand provides Sellers a way to add print-on-demand variants to a connected storefront and route the resulting orders to our New Jersey production facility for printing, framing (when applicable), packing, and shipping. The Service supports four product types:
- Framed paper prints — printed on archival paper, custom-framed
- Framed canvas prints — printed on canvas, stretched, framed in float or traditional moulding
- Unframed paper prints — printed on archival paper, rolled or flat-packed for shipping
- Unframed (gallery-wrap) canvas prints — printed on canvas, stretched, no frame
We handle production, packaging, label generation, and carrier handoff. The Seller handles the storefront experience and Buyer support.
The Service is provided on a per-order basis. There is no minimum volume commitment and no recurring subscription fee.
3. Your account
To use the Service you must:
- Be at least 18 years old and authorized to enter contracts on behalf of any business you represent.
- Provide accurate account and contact information and keep it current.
- Keep your access credentials secure. You are responsible for activity under your account.
- Maintain a valid Stripe payment method on file once you start submitting orders.
You may install the Service on storefronts you own or are authorized to manage. One Service account corresponds to one storefront unless we explicitly agree otherwise. Sellers may be located anywhere in the world, subject to applicable export controls and sanctions law.
4. Shipping geography
The Service currently fulfills orders to shipping addresses within the United States only. Sellers may install the Service from anywhere globally, but Buyer orders with non-US shipping addresses cannot be fulfilled at this time. Orders ingested with an international shipping address will be flagged for the Seller's attention and will not enter production.
We expect to expand fulfillment geography over time. Updates will be communicated to Sellers in advance via email and reflected in the Service.
5. Pricing and payment
Installation is free. There is no monthly platform fee, per-variant fee, or setup fee. You pay only for the orders we produce and ship on your behalf.
5.1 What we bill

Prices are in US dollars.
5.2 Cadence
We invoice weekly. Each Sunday we generate a single invoice covering all orders shipped during the prior Sunday-through-Saturday window. The invoice is sent by email Monday morning. Stripe charges the payment method on file once the invoice is issued.
If a given week had no shipments, no invoice is generated.
5.3 Payment method and PCI scope
We process payments through Stripe. We never see, collect, or store credit card numbers. Stripe stores the card data; we hold a tokenized reference (a Stripe Customer ID) that allows us to charge the card on file via Stripe's API. This means our PCI DSS scope is limited to Self-Assessment Questionnaire A (SAQ-A) — the minimal tier — because no cardholder data flows through our systems.
5.4 Refunds and credits
Buyer-side refunds you issue from your storefront do not automatically reduce our invoice — you've already received the produced product, regardless of whether you elected to refund the Buyer. Production credits issued by us (for damage, defect, or fulfillment error — see §10) are applied as a negative line item on the next invoice.
6. Late payment
If an invoice is unpaid:
- We send a reminder email three days after issuance.
- We send a firmer reminder five days after issuance.
- If an invoice remains unpaid for 8 or more days after issuance, we may, at our discretion, pause fulfillment of new orders for your account until payment is received. Pause is the operational consequence we use rather than late fees; it ends automatically once payment clears.
No late fees are applied. There is no permanent cutoff beyond pause. If your account remains in unpaid status for more than 30 days, we may close the account and delete the associated data per our Privacy Policy retention schedule, except for tax records required to be retained by law.
7. Intellectual property
7.1 Your artwork
You retain all rights to the artwork you upload. By uploading print files to the Service, you grant FramesOnDemand a non-exclusive, royalty-free, worldwide license to reproduce, print, frame (when applicable), pack, and ship that artwork solely as needed to fulfill orders generated through your storefront. The license terminates when you uninstall the Service or delete the artwork from your account, subject to the data retention schedule in our Privacy Policy.
7.2 Our software and brand
The FramesOnDemand application, brand, designs, code, frame catalog, pricing engine, and mockup generator are owned by CustomPictureFrames LLC. You receive a limited, revocable license to use them as part of the Service. You may not copy, reverse-engineer, decompile, or repackage the Service.
7.3 Mockup images
Composite mockup images we generate by combining your artwork with our frame templates may be used by you in your storefront listings and marketing for as long as you remain an active Seller. Once you uninstall, the license to use those mockups terminates, though you may keep copies you've already published.
7.4 DMCA / copyright takedown
We respond to valid DMCA takedown notices and counter-notices. See our Copyright Policy for the full procedure and our designated agent's contact information.
8. Acceptable use
You agree not to upload, sell, or fulfill artwork that:
- You do not own or do not have a license to reproduce.
- Infringes a third party's copyright, trademark, right of publicity, or other intellectual property right.
- Depicts illegal content, including but not limited to child sexual abuse material, content that incites violence, or content that violates US export controls.
- Violates the laws of the jurisdiction where the Buyer resides.
- Is intended to defraud or mislead Buyers.
We reserve the right to refuse or remove any order that, in our sole judgment, runs afoul of these acceptable-use rules. We do not pre-screen every order for IP compliance — that responsibility sits with the Seller.
9. Warranty and damage policy
We warrant that every unit we ship will:
- Match the print, frame, mat, glazing, paper finish, and size specified in the order.
- Be free from material manufacturing defects.
- Be packaged to industry standards for in-transit protection.
If a unit arrives damaged or with a manufacturing defect, the Seller (or the Buyer, on the Seller's behalf) should report the issue within 30 days of delivery. We will, at our discretion, reproduce and reship the unit at no charge or issue a production credit equal to the wholesale cost.
This warranty does not cover damage caused after delivery, color-perception variation between screens and printed output, or Buyer dissatisfaction with the artwork itself (an IP / curation matter that sits with the Seller).
10. Limitation of liability
To the maximum extent permitted by law, FramesOnDemand's total aggregate liability arising out of or related to these Terms — whether in contract, tort, or otherwise — is limited to the greater of (a) US$1,000 or (b) the total amount you paid us in the 90 days immediately preceding the event giving rise to the claim.
FramesOnDemand is not liable for indirect, incidental, special, consequential, or punitive damages, including lost profits or reputational harm, even if advised of the possibility. The Service is provided "as is" and "as available." We disclaim all implied warranties to the extent the law allows, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
11. Indemnification
You agree to defend, indemnify, and hold harmless FramesOnDemand, CustomPictureFrames LLC, and their officers, employees, and agents from any third-party claim, demand, loss, or expense (including reasonable attorneys' fees) arising out of:
- Your breach of these Terms.
- Artwork you uploaded that infringed a third party's intellectual property or other right.
- Your use of the Service in violation of applicable law.
- Your representations to Buyers about products fulfilled through the Service.
12. Force majeure
Neither party will be liable for delays or failures in performance caused by circumstances beyond its reasonable control, including but not limited to natural disasters, pandemics, government actions, carrier outages, supply chain disruptions, or interruptions of third-party services on which the Service depends (Shopify, Stripe, Cloudflare, ShipStation, etc.). We will use reasonable efforts to communicate impacts and resume normal operations as soon as possible.
13. Termination
You may uninstall the Service at any time from your Shopify admin (or the equivalent action on a connected platform). On uninstall, we cease pulling new orders, finalize any in-flight orders, and begin the data-purge process described in our Privacy Policy.
We may terminate your account if you materially breach these Terms (including failure to pay), if your storefront is uploading infringing or illegal content, or if continuing to serve your account would expose us to legal or operational risk. We will give you reasonable notice and the opportunity to cure where the circumstances allow.
Surviving these Terms after termination: §7 (intellectual property), §10 (limitation of liability), §11 (indemnification), §14 (governing law), and any other provision that by its nature should survive.
14. Governing law
These Terms are governed by the laws of the State of New Jersey, without regard to conflict-of-law principles. The exclusive forum for any dispute arising under these Terms is the state and federal courts located in New Jersey, and you consent to personal jurisdiction in those courts.
If any provision of these Terms is held unenforceable, the remainder stays in effect.
15. Changes to these terms
We may revise these Terms as the Service or applicable law changes. Material changes — anything that meaningfully affects pricing, your obligations, or your rights — will be communicated by email at least 14 days before they take effect. Continued use of the Service after the effective date constitutes acceptance.
